style=\"width:100%;height:56.72%;max-width:670px;margin-bottom: 15px\" \/><\/div>\n<p><span style=\"font-weight: 400\">PointsBet Holdings has rejected a takeover proposal from Betr Entertainment, maintaining its position that shareholders should accept the alternative offer on the table from MIXI Australia.\u00a0<\/span><\/p>\n<p>Betr\u2019s bid was made on an all-scrip basis (meaning the offer comprises entirely shares in the acquiring company, rather than cash), in contrast to the cash offer from MIXI.<\/p>\n<p><span style=\"font-weight: 400\">PointsBet is disputing the valuation put forward by Betr, due to how it is calculated.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">In an offer made directly to shareholders of the Australian gambling company, instead of its board, the buyer wants to acquire the shares at a ratio of 3.81 Betr shares for every PointsBet share.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">This produces a top-level valuation of AUS $1.22 per PointsBet share, but not everyone agrees.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">The <\/span><span style=\"font-weight: 400\">board has outlined its <a href=\"https:\/\/company-announcements.afr.com\/asx\/pbh\/7f35fe1d-6749-11f0-8b52-82d9a687be72.pdf\" target=\"_blank\" rel=\"noopener\">assertion<\/a><\/span><span style=\"font-weight: 400\"> that the offer only amounts to AUS $1.03 per share when based on Betr\u2019s 20-day volume-weighted average price (as of July 16), while raising further objections.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Those reasons for not recommending the offer include the lack of a cash alternative, exposing shareholders to market volatility and liquidity risks, and a VIP-heavy customer base. <\/span><span style=\"font-weight: 400\">PointsBet also flagged what it described as \u201csub-scale\u201d sportsbook operation, dominated by horse racing.<\/span><\/p>\n<p><span style=\"font-weight: 400\">In contrast, the offer from MIXI Australia, a subsidiary of the Japanese tech and media house, has received unanimous support from PointBet\u2019s board.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">The all-cash proposal from MIXI presents an overall valuation of AUS $402 million, working out at $1.20 per share.\u00a0<\/span><\/p>\n<h2><span id=\"both_entities_are_existing_minority_shareholders_in_the_australian_betting_company-2\">Both entities are existing minority shareholders in the Australian betting company<\/span><\/h2>\n<p><span style=\"font-weight: 400\">This latest MIXI bid is <\/span><a href=\"https:\/\/cdn-api.markitdigital.com\/apiman-gateway\/ASX\/asx-research\/1.0\/file\/2924-02969808-3A672048&amp;v=4a466cc3f899e00730cfbfcd5ab8940c41f474b6\"><span style=\"font-weight: 400\">now officially open<\/span><\/a><span style=\"font-weight: 400\">, and presented with a recommendation to accept, but it stands out from previous offers as it has a lower shareholder acceptance requirement.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">It will need at least 50.1% approval from PointBet subscribers, but 17.18% has already been secured from the holdings of directors and pre-bid agreements from institutional holders.<\/span><\/p>\n<p><span style=\"font-weight: 400\">Both Betr and MIXI are existing minority shareholders in PointsBet, with the former holding around 19.6%, compared to the latter\u2019s 9.15%.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Another intriguing aspect of the <a href=\"https:\/\/readwrite.com\/betr-proposes-to-acquire-pointsbets-stocks-in-multi-million-dollar-deal\/\">ongoing saga is what the prospective bidders<\/a> will do with PointsBet\u2019s Canadian operation.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">MIXI has not gone public with its true intentions, but it has gained regulatory approval in Ontario, where PB is still active, while it has the option of launching into Alberta, which will open a regulated betting market next year.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Betr has indicated it sees the other business as \u2018unprofitable\u2019, with a non-binding agreement in place with Hard Rock Digital for the sale of PointsBet Canada for AUS $29.6 million.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">It would appear that the end of the line is near for Betr, but don\u2019t rule it out just yet.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u201cThis is just the start of the value creation journey we envisage for Betr and PointsBet shareholders for the combined business,\u201d it said when lodging its bid.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Although
