Carlsberg already makes well-known drinks other than its lagers and pilsners, such as Somersby cider and Garage seltzers\u2014but they only make up a fraction of its sales volumes.\u00a0<\/p>\n<p>\u201cWith this transaction, we are combining Britvic\u2019s high-quality soft drinks portfolio with Carlsberg\u2019s strong beer portfolio and route-to-market capabilities, creating an enhanced proposition across the UK and other markets in Western Europe,\u201d Carlsberg CEO Jacob Aarup-Andersen said in a statement.\u00a0<\/p>\n<h2 class=\"wp-block-heading\">Cracking the path ahead<\/h2>\n<p>The acquisition is significant for Carlsberg, which plans to turbocharge growth by 4-6% annually <a href=\"https:\/\/www.carlsberggroup.com\/newsroom\/accelerate-sail-sets-higher-long-term-growth-ambitions\/\" target=\"_blank\" aria-label=\"Go to https:\/\/www.carlsberggroup.com\/newsroom\/accelerate-sail-sets-higher-long-term-growth-ambitions\/\" rel=\"noopener\" class=\"sc-80b85506-0 pUpMT\">through 2027<\/a>, according to a new strategy laid out in February. To achieve that, Carlsberg said it wants to double down on premium beers while also growing its non-alcoholic beverage offerings.\u00a0\u00a0<\/p>\n<p>\u201cThey [Carlsberg] do already have soft drinks, a combined portfolio of beer and soft drinks in a number of markets, and in those markets, the margin is higher than the average,\u201d a Carlsberg spokesperson told <em>Fortune<\/em>, attributing the efficiency to \u201cgood synergies\u201d from streamlining operations. The group also estimates an annual cost savings of \u00a3100 million ($128 million) following the acquisition.\u00a0<\/p>\n<p>\u201cIt\u2019s very much a kind of growth-oriented acquisition, wanting to expand and invest.\u201d\u00a0\u00a0\u00a0\u00a0<\/p>\n<p>Carlsberg\u2019s soft drinks portfolio is small\u201416% of its group\u2019s volumes\u2014pointing to the prominence of its beer business. Despite beefing up its non-alcoholic beverage portfolio, the company still remains a brewer first, Carlsberg\u2019s spokesperson said.\u00a0<\/p>\n<p>Britvic is home to over 35 brands, including Fruit Shoot and J2O, that sell predominantly in Britain and other parts of Europe. It\u2019s been around since 1938 and is the official PepsiCo bottler and distributor in the U.K. for soft drinks like Mountain Dew and 7UP.\u00a0<\/p>\n<p>Carlsberg\u2019s deal followed PepsiCo\u2019s agreement to waive the <a href=\"https:\/\/www.reuters.com\/markets\/deals\/pepsico-waive-clause-bottling-deal-carlsberg-eyes-39-bln-britvic-bid-2024-06-24\/\" target=\"_blank\" aria-label=\"Go to https:\/\/www.reuters.com\/markets\/deals\/pepsico-waive-clause-bottling-deal-carlsberg-eyes-39-bln-britvic-bid-2024-06-24\/\" rel=\"noopener\" class=\"sc-80b85506-0 pUpMT\">change-of-control clause<\/a> over Britvic\u2019s bottling operations, which helped smoothen the deal after its earlier rejection.<\/p>\n<p>\u201cCarlsberg has been a bottler for decades, and there would be synergies in the \u201cbeyond beer\u201d business,\u201d Bernstein analysts said in a note following news about a possible deal late last month.<\/p>\n<p>Carlsberg\u2019s U.K. arm will take over U.K.-listed Britvic\u2019s operations and be called \u201cCarlsberg Britvic.\u201d The company will continue to look for similar opportunities in other parts of Europe to bolster its business. On Monday, it also announced that it\u2019ll buy out the joint venture it has with U.K. pub chain Marston\u2019s, further strengthening its stride towards Western European markets.\u00a0\u00a0<\/p>\n<p>Many of the world\u2019s biggest brewers, including AB InBev, Heineken, and Carlsberg, have sought to expand their non-alcoholic beverage offerings. They\u2019ve tried to increase the number of options in that segment along with launching \u201c0.0\u201d or alcohol-free alternatives to their flagship beers.
