In fact, its social purpose was inextricable from its business model. Now it\u2019s on a six-month warning.\u00a0<\/p>\n<div>\n<p>The San Francisco-based eco-friendly shoe brand received a non-compliance notice from <a href=\"https:\/\/fortune.com\/company\/nasdaq\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">Nasdaq<\/a> on Monday after its share prices fell below $1 for 30 consecutive days. Hovering around $0.60 per share for the past two weeks, the last time Allbirds stock was above the dollar cutoff for the market\u2019s listing compliance was <a href=\"https:\/\/finance.yahoo.com\/quote\/BIRD\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">Feb. 15<\/a>.\u00a0<\/p>\n<p>According to <a href=\"https:\/\/listingcenter.nasdaq.com\/rulebook\/nasdaq\/rules\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">Nasdaq\u2019s listing rules<\/a>, Allbirds has six months, or until Sept. 30, to regain compliance by having its common stock close at over $1 for 10 consecutive business days. The company said in a <a href=\"https:\/\/ir.allbirds.com\/news-releases\/news-release-details\/allbirds-receives-notice-non-compliance-nasdaq-minimum-bid-price\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">press release<\/a> that it will \u201cactively monitor\u201d stock prices and \u201cconsider actions that it may take in response to this notification.\u201d<\/p>\n<p>\u201cOver the past year, under our plan, we significantly improved our business model\u2013cleaned up inventory, captured cost savings, reduced our operating cash use, and signed agreements with international distributors\u2013providing the runway and financial flexibility to continue to execute on our plan and position the Company to drive profitable growth in future years,\u201d an Allbirds spokesperson told <em>Fortune<\/em> in a statement.<\/p>\n<p>Allbirds\u2019 fiscal 2023 was marred by a near 15% plummet in net revenue and gross profit of $104.2 million that was down 41% compared to $129.6 million in 2022. Last month, COO Joe Vernachio stepped up to helm the company as CEO and implement a \u201cstrategic transformation plan\u201d that included closing down 10 to 15 U.S. stores and using a distributor model in international markers, per its <a href=\"https:\/\/ir.allbirds.com\/news-releases\/news-release-details\/allbirds-reports-fourth-quarter-and-full-year-2023-financial\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">fourth-quarter earnings report<\/a>.\u00a0<\/p>\n<p>Allbirds\u2019 recent struggles highlight the company\u2019s albatross: It has never <a href=\"https:\/\/www.businessinsider.com\/what-it-will-take-for-allbirds-to-be-profitable-2022-6\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">turned a profit<\/a> in nine years of business. While the company prioritized its sustainability mission, there\u2019s evidence it came at the expense of actually making money for the company. To understand what\u2019s going on, you need to dive into the world of B Corps.<\/p>\n<h2 class=\"wp-block-heading\"><strong>Environmentally or economically sustainable?<\/strong><\/h2>\n<p>Allbirds gained <a href=\"https:\/\/www.investopedia.com\/b-corp-7488828\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">B Corp<\/a> classification\u2014meeting the social and environmental standard set by independent non-profit B Labs\u2014in 2016 at a time when CEOs <a href=\"https:\/\/www.ft.com\/content\/0b632709-afda-4bdc-a6f3-bb0b02eb5a62\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">coveted the certification<\/a>, wanting to earnestly make a difference through this status that comes with an explicit social mission. There are over 6,000 certified B Corp companies as of 2023, a figure that has tripled since 2016.<\/p>\n<p>Outlined in their <a href=\"https:\/\/cdn.allbirds.com\/image\/upload\/v1665699764\/Carbon%20Number\/Allbirds_Product_Carbon_Footprint_Methodology_V2.pdf?_gl=1*r6vrln*_ga*MTQ0OTE1NzgyMC4xNjIwMjMxODgw*_ga_KJL05B1DJZ*MTY2Nzk0NzU4NC4xNDUuMC4xNjY3OTQ3NTg0LjAuMC4w\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">Product Carbon Footprint Methodology<\/a>, Allbirds sources natural materials such as sugarcane and tree fibers, as well as recycled materials to manufacture its shoes. In 2023, the company committed to <a href=\"https:\/\/cdn.allbirds.com\/image\/upload\/v1679508750\/marketing-pages\/Allbirds_Environmental_Program.pdf\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">reduce its per-unit carbon emissions<\/a> by 95% by 2030. But its environmental pledges haven\u2019t been consistently profitable. Allbirds disclosed in a Dec. 31 <a href=\"https:\/\/www.sec.gov\/ix?doc=\/Archives\/edgar\/data\/1653909\/000165390924000015\/bird-20231231.htm\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">SEC filing<\/a>, that it accumulated $391.2 million in deficit as of the filing\u2019s publication: \u201cWe have incurred significant net losses since inception and anticipate that we will continue to incur losses for the foreseeable future.\u201d<\/p>\n<p>While hit with a remote work boom that saw <a href=\"https:\/\/public.com\/learn\/what-you-need-to-know-about-the-allbirds-ipo\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">decreased demand<\/a> for work-appropriate footwear, Allbirds ultimately failed to understand its audience: Even though the company\u2019s founder cared about the environment, their target audience really didn\u2019t, Neil Saunders, GlobalData managing director of retail, <a href=\"https:\/\/www.retaildive.com\/news\/allbirds-names-joe-vernachio-ceo-plans-store-closures-sales-fall\/710123\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">told RetailDive<\/a> in March.<\/p>\n<p>\u201c\u200b\u200bAllbirds has pushed the sustainability message because it is a passion of its founder,\u201d he said. \u201cThat\u2019s fine, but the passions of individuals are not selling strengths if they are misaligned with the market.\u201d<\/p>\n<p>The company\u2019s attitude for sustainability above all else was apparent after <a href=\"https:\/\/fortune.com\/company\/amazon-com\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">Amazon<\/a> introduced Galen wool sneakers in 2019 that cost 50% less. Then-CEO Joey Zwillinger admitted that he wasn\u2019t upset that Amazon adapted a similar design\u2014but he was that Amazon did so without also mimicking Allbirds\u2019 sustainability practices.<\/p>\n<p>\u201cGiven what I know about manufacturing, there is no way you can sell a shoe for that low while taking care of all of the environmental and animal welfare considerations and compliance we take into account,\u201d Zwillinger <a href=\"https:\/\/www.fastcompany.com\/90407744\/allbirds-to-amazon-dont-steal-our-design-steal-our-sustainable-practices\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">said in an interview with Co.Design<\/a> in September 2019. \u201cAmazon is stating that it wants to be a green company. It should be taking steps to make their products more sustainable.\u201d<\/p>\n<p>Amazon <a href=\"https:\/\/www.businessinsider.com\/allbirds-cofounder-criticizes-amazon-for-knockoff-shoes-that-cost-less-2019-11\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">denied<\/a> copying Allbirds\u2019 design, saying in 2019 that \u201cThis aesthetic isn\u2019t limited to Allbirds, and similar products are also offered by several other brands.\u201d The e-commerce giant sells Allbirds on its marketplace.<\/p>\n<h2 class=\"wp-block-heading\"><strong>The B Corp blues<\/strong><\/h2>\n<p>To be sure, some B Corp firms have used the certification as a form of virtue signaling, touting commitments to social and environmental causes while also finding ways to cut corners. While Nestl\u00e9 subsidiary Nespresso gained B Corp certification in 2022, smaller coffee roasters have <a href=\"https:\/\/www.ft.com\/content\/0b632709-afda-4bdc-a6f3-bb0b02eb5a62\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">accused the company<\/a> of paying its coffee bean farmers a pittance and selling single-serving cups that generate immense waste. Nespresso posted <a href=\"https:\/\/www.nestle.com\/media\/pressreleases\/allpressreleases\/full-year-results-2023\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">5.3% organic growth<\/a> in fiscal 2023.<\/p>\n<p>But others, as in the case of Allbirds, have held onto their political convictions to, at times, the expense of making money. Ben &amp; Jerry\u2019s, a certified B Corp since 2012, has been parent company Unilever\u2019s <a href=\"https:\/\/www.cnbc.com\/2024\/03\/19\/unilever-announces-plan-to-spin-off-its-ice-cream-unit-including-ben-jerrys.html\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">problem child<\/a>, as its generated backlash for its social stances, such as refusing to sell ice cream in Israeli-occupied Palestinian territories and saying the U.S. was \u201c<a href=\"https:\/\/www.benjerry.com\/whats-new\/2023\/07\/stolen-indigenous-land\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">founded on stolen Indigenous land<\/a>.\u201d\u00a0<\/p>\n<p>Last month, Unilever decided to <a href=\"https:\/\/www.cnbc.com\/2024\/03\/19\/unilever-announces-plan-to-spin-off-its-ice-cream-unit-including-ben-jerrys.html\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">restructure the company<\/a> to separate its ice cream unit, including Ben &amp; Jerry\u2019s, laying off 7,500 mostly office-based employees. The restructuring began immediately and is slated to be completed by 2025.<\/p>\n<p>Unilever and many of its subsidiaries have had B Corp status <a href=\"https:\/\/www.theguardian.com\/sustainable-business\/2015\/jan\/23\/benefit-corporations-bcorps-business-social-responsibility\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">for years<\/a>, though not always to the delight of its shareholders. Investors such as Terry Smith, who is behind Unilever\u2019s 10th largest shareholder Fundsmith, long criticized Unilever for its social statements detracting from business.<\/p>\n<p>\u201cA company which feels it has to define the purpose of Hellmann\u2019s mayonnaise has in our view clearly lost the plot,\u201d <a href=\"https:\/\/www.fundsmith.co.uk\/media\/3wcngjie\/2021-fef-annual-letter-to-shareholders-web.pdf\" target=\"_blank\" rel=\"noopener\" class=\"sc-d963e821-0 eclfSM  \">he wrote<\/a> in a 2022 letter to investors.<\/p>\n<p>Smith praised the conglomerate\u2019s decision to restructure. In a similar moment of reckoning, Allbirds\u2019 leadership has offered some optimism on the future of the brand.
