To settle the charges, Bechtolsheim, who lives in Nevada near Lake Tahoe, agreed to a five-year ban from serving as an officer or director and a civil penalty of $923,740, the SEC said. Bechtolsheim did not admit or deny the SEC\u2019s findings.<\/p>\n<p>Bechtolsheim is the founder and<a href=\"https:\/\/www.arista.com\/en\/company\/management-team\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \"> chief architect at Arista Networks<\/a>, and is responsible for advanced AI, silicon and optics initiatives, according to the company\u2019s website. He is<a href=\"https:\/\/engineering.stanford.edu\/about\/heroes\/2012-heroes\/andreas-bechtolsheim\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \"> known as a tech legend<\/a> for having built a modular computer station while he was a doctoral student at Stanford University and he was an early-stage investor in Google and <a href=\"https:\/\/fortune.com\/company\/vmware\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \">VMware<\/a>. Arista said in a statement to <em>Fortune <\/em>today that his role at Arista is in a non-executive capacity and that it shifted in November 2023. The SEC\u2019s complaint states that he resigned as chairman and chief development officer at Arista in December 2023.<\/p>\n<p>\u201cWhile the SEC announcement did not involve any trading in Arista securities, Arista takes compliance to the company\u2019s code of conduct and insider trading policy seriously,\u201d said the Arista spokesperson. \u201cArista will respond appropriately to the situation.\u201d<\/p>\n<p>Bechtolsheim holds about 14% of <a href=\"https:\/\/fortune.com\/company\/arista-networks\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \">Arista Networks<\/a> <a href=\"https:\/\/www.sec.gov\/ix?doc=\/Archives\/edgar\/data\/1596532\/000119312523126846\/d411423ddef14a.htm\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \">either directly or through his family trust<\/a>, according to a 2023 SEC filing.\u00a0<\/p>\n<p>According to the<a href=\"https:\/\/www.sec.gov\/files\/litigation\/complaints\/2024\/comp-pr2024-40.pdf\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \"> SEC\u2019s complaint<\/a>, Bechtolsheim heard on July 8, 2019 that <a href=\"https:\/\/fortune.com\/company\/cisco-systems\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-47dba8f0-0 iRbseu styledLinkColor \">Cisco Systems<\/a> was on the cusp of buying high-speed communications products company Acacia Communications after a senior executive at a third, unnamed company contacted him to ask if the exec\u2019s company should make a bid for Acacia. Bechtolsheim\u2019s company and the tech company\u2014and Bechtolsheim and the senior exec\u2014were bound by an NDA, the SEC said.<\/p>\n<p>Yet, that same day Bechtolsheim traded Acacia securities in a close relative\u2019s brokerage account and the account of an associate just before the close of the market, the SEC said. The next morning before the market opened, Acacia and Cisco announced the acquisition, prompting a 35% jump in Acacia\u2019s stock, the agency said. Bechtolsheim, by trading in the two accounts, made total profits of $415,726, the SEC claims.
