Last week, a Delaware judge\u00a0<a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2024-01-30\/elon-musk-s-55-billion-tesla-pay-package-voided-by-judge\" target=\"_blank\" rel=\"noreferrer noopener\" class=\"sc-bd4ab706-0 dXixpY styledLinkColor \">struck down<\/a>\u00a0Musk\u2019s $55 billion\u00a0<a href=\"https:\/\/www.bloomberg.com\/quote\/TSLA:US\" target=\"_blank\" rel=\"noreferrer noopener\" class=\"sc-bd4ab706-0 dXixpY styledLinkColor \">Tesla Inc.<\/a>\u00a0pay package. In a post on X, the social network he owns, Musk advised founders not to incorporate in the state.<\/p>\n<p>The notice sent to shareholders, which was reviewed by Bloomberg, informed them that their outstanding shares in the Delaware corporation would now be incorporated into outstanding shares in the Nevada corporation.<\/p>\n<p>Neuralink lawyer\u00a0Philip Mao\u00a0declined to comment.<\/p>\n<p>Last week, Musk tweeted that Neuralink had\u00a0<a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2024-01-29\/elon-musk-says-first-human-patient-has-received-brain-implant\" target=\"_blank\" rel=\"noreferrer noopener\" class=\"sc-bd4ab706-0 dXixpY styledLinkColor \">implanted a device<\/a>\u00a0in a human patient for the first time. The startup\u2019s technology aims to help people with traumatic injuries operate computers using only their thoughts. Eventually, Musk has said Neuralink\u2019s device will give people \u201ccontrol of your phone or computer, and through them almost any device, just by thinking.\u201d<\/p>\n<p>Neuralink isn\u2019t the first business Musk has reincorporated outside of Delaware and may not be the last.<\/p>\n<p>Musk previously moved the incorporation of X from Delaware to Nevada when he renamed the company from Twitter. Nevada\u2019s corporate laws offer more protections for executives against investor suits.<\/p>\n<p><a href=\"https:\/\/fortune.com\/company\/tesla\/\" target=\"_blank\" rel=\"noopener\" class=\"sc-bd4ab706-0 dXixpY styledLinkColor \">Tesla<\/a>, which is headquartered in Austin, was incorporated in Delaware in 2003. Last week, Musk\u00a0<a href=\"https:\/\/twitter.com\/elonmusk\/status\/1752922071229722990\" target=\"_blank\" rel=\"noreferrer noopener\" class=\"sc-bd4ab706-0 dXixpY styledLinkColor \">vowed to try to shift<\/a>\u00a0Tesla\u2019s incorporation from Delaware to Texas, but such a move would require a shareholder vote.<\/p>\n<p>Musk has a long history of legal disputes in Delaware, which is known as the country\u2019s incorporation capital. The state is the corporate home to more than 70% of Fortune 500 companies and its chancery court judges are recognized as business-law experts who can hear cases on a fast-track basis. Most high-profile merger-and-acquisition disputes are litigated in the state in non-jury cases. Even foreign companies come to Delaware to have corporate disputes decided.<\/p>\n<p>Two years ago, a Delaware judge rebuffed an investor suit challenging Musk\u2019s $2.6 billion acquisition of renewable-power provider SolarCity, finding the billionaire entrepreneur didn\u2019t improperly force fellow directors to accept an overpriced buyout of SolarCity.<\/p>\n<p>Later in 2022, Musk didn\u2019t have as much luck when he tried to back out of his bid to buy the social media platform once known as Twitter.
